The need for a negotiated procedure without prior publication of a contract notice in accordance with section 11.1.(b)(ii) and (iii) Annex I to the Financial Regulation is due to the fact that the supplies and services can only be provided by a single economic operator because competition is absent for technical reasons and the protection of exclusive rights must be ensured, where no reasonable alternative or substitute exists, and the absence of competition is not the result of an artificial narrowing down of the parameters when defining the procurement. Thus, the contract can be only awarded to one particular economic operator. Major elements of Sopra’s software licenses (products) and associated services offering that are currently in use for the payroll IT systems of the Commission (used for the payroll calculation of current, retired, unemployed former staff members and third-party beneficiaries of more than 70 EUIs and managing the recruitment and payments to interimaires, contract agents and seconded national experts of Commission), cannot be replaced in a technically or economically reasonable way without major disruptions, delays or disproportionate costs to reimplement in the foreseeable future. Sopra is the sole holder of exclusive intellectual property rights regarding its software products and, thus, an effective competition on the market does not exist for these. Additionally, the vast majority of associated services acquired under this particular contract are required for the maintenance and evolution of the customisation of core parts of the Sopra software and cannot be performed by any other IT company without Sopra’s unique expertise, unparalleled knowledge and capacity as the historical software publisher. The maintenance and evolution of such customisations and components are critical for the business continuity and uninterrupted functioning of the critical payroll IT systems of the Commission. The heavy customization of the software, the peculiarities of the applicable payroll regulations and the criticality of the platform for the operations do not allow for a choice of alternative products in a technically or economically reasonable way without major disruptions, delays or disproportionate reimplementation costs, without a significant impact on continuity. The absence of competition is not the result of an artificial narrowing down of the parameters when defining the procurement, but the consequence of the single pricing policy the software editor is expected to impose to all its sale channels. Therefore, contractual access to Sopra’s products and services is mandatory in order to ensure business continuity. These products are covered by a legacy captivity situation which covers their ordering under the future FWC. This situation is not attributable to the contracting authority because the latter did not have real and reasonable means from an economic point of view to put an end to an existing situation of exclusivity during the period before deciding to use the negotiated procedure (e.g. by trying to obtain the transfer of exclusive rights or to organize a new procedure for obtaining a replacement solution). The conditions in the Financial Regulation are fulfilled, as the technical captivity aspects require the continued use of Sopra licences and services, which in turn requires further contracting with Sopra as the holder of exclusive rights.
