It should be noted that the procurement (both lots) is subject to Regulation (EU) No. 2022/2560 of the European Parliament and of the Council of 14 December 2022 on foreign subsidies distorting the internal market. Prequalified applicants will be obliged to update the notification/declaration upon submission of final tender. A portfolio of references documenting up to 5 comparable works, that the candidate has carried out in the latest 5 years before the expiry of the deadline for application.
Works are considered carried out in the latest 5 years, if the candidate has completed (handed-over to the customer) the works within the latest 5 years (i.e. if hand-over is within the 5-year period the entire works are considered). Only references that are completed will be given importance in the evaluation of which candidates have documented the most relevant experience. References that are not completed will not be considered. Banedanmark will invite up to five applicants to submit tenders, provided that a sufficient number of eligible applications are received.

If more than five eligible applications for prequalification are received, Banedanmark will make a selection among those applicants.

The shortlisting of candidates invited to tender will be based on an overall assessment of which candidates have documented the most relevant experience in delivery of works comparable to the works covered by the lot. By comparable works reference is made to e.g. works regarding planning and execution of replacement of subballast by use of larger machinery as described in the contract notice. References regarding manually replacement of subballast does not constitute comparable works.

The overall assessment will be made on the basis of the submitted portfolio of references and the extent to which these references - as a whole - document delivery of comparable works.
When considering whether works are most comparable (and as such considered most relevant experience) following (not exhaustive) will be given positive weight in the assessment:

- That the portfolio of references as a whole document experience with collaboration with other contractors within the same track closure
- That the portfolio of references as a whole document experience with works of high complexity. By high complexity reference is made to works with many interfaces such as client deliveries and derived works carried out by other contractors (for example earthworks, drainage works, signalling works and electrification works)
- Planning of the works done in collaboration with the client.

Each reference is requested to include a description of the deliveries made. The description should include a clear description of how it relates to the works covered by the framework agreement, the candidate's role(s) in the performance of the delivery and in particular how it covers the areas that will be given positive weight in the assessment of which candidates that have documented the most relevant experience.
Each reference is also requested to include the financial value of the delivery, the date of delivery and the name of the customer (recipient), including point of contact. When indicating the date of the delivery, the candidate is requested to indicate the date of finalisation of the delivery.
The portfolio may not include more than 5 references, irrespective of whether the candidate is a single operator, a group of operators (e.g. a consortium) or whether the candidate (single operator or group of operators) relies on the technical capacity of other entities. If more than 5 references are submitted, only the 5 references that commenced first will be considered by the contracting entity.
If the candidate relies on the professional experience of other entities for the performance of specific parts of the works comprised by the contract, such specific parts of the works under the contract must be performed by the entity on which the candidate relies, e.g. by acting as a sub-contractor to the candidate regarding the relevant parts of the works or by making the necessary employees and/or facilities available for the candidate's performance of the relevant parts of the works.

Prior to award, the tenderer to whom the contracting entity intends to award the contract must submit documentation that the information stated in the ESPD is accurate. However, no additional documentation of technical and professional capacity will be required from the candidate, but the contracting entity reserves the right to contact the candidate or the customer stated in the reference for verification.
If a legal entity participates in more than one application (e.g. as a supporting entity), the contracting entity may request proof that this has not limited the competition in conflict with applicable competition laws.

As a minimum requirement, the candidate must have at least
1) two (2) references covering works regarding planning, execution of replacement of subballast by use of larger machinery and ballast cleaning.
The minimum requirement cannot be fulfilled with separate references for respectively planning, execution of replacement of subballast and ballast cleaning. Thus only references covering all the above (planning, execution of replacement of subballast and ballast cleaning), will be a part of the assessment of whether the minimum requirement is fulfilled. </cbc:Description><cbc:CalculationExpressionCode listName="usage">used</cbc:CalculationExpressionCode><efbc:SecondStageIndicator>true</efbc:SecondStageIndicator></efac:SelectionCriteria></efext:EformsExtension></ext:ExtensionContent></ext:UBLExtension></ext:UBLExtensions><cbc:VariantConstraintCode listName="permission">not-allowed</cbc:VariantConstraintCode><cbc:RecurringProcurementIndicator>false</cbc:RecurringProcurementIndicator><cbc:MultipleTendersCode listName="permission">not-allowed</cbc:MultipleTendersCode><cac:RequiredFinancialGuarantee><cbc:GuaranteeTypeCode listName="tender-guarantee-required">false</cbc:GuaranteeTypeCode></cac:RequiredFinancialGuarantee><cac:CallForTendersDocumentReference><cbc:ID>Indkøbsdokumenter</cbc:ID><cbc:DocumentType>non-restricted-document</cbc:DocumentType><cac:Attachment><cac:ExternalReference><cbc:URI>https://eu.eu-supply.com/app/rfq/rwlentrance_s.asp?PID=393777&B=</cbc:URI></cac:ExternalReference></cac:Attachment></cac:CallForTendersDocumentReference><cac:PaymentTerms><cbc:Note languageID="ENG">If the framework agreement is awarded to a group of operators (such as a consortium), the participants of the group must undertake joint and several liability and appoint a joint representative. </cbc:Note></cac:PaymentTerms><cac:TendererQualificationRequest><cac:SpecificTendererRequirement><cbc:TendererRequirementTypeCode listName="reserved-procurement">none</cbc:TendererRequirementTypeCode></cac:SpecificTendererRequirement></cac:TendererQualificationRequest><cac:TendererQualificationRequest><cbc:CompanyLegalFormCode listName="required">false</cbc:CompanyLegalFormCode></cac:TendererQualificationRequest><cac:ContractExecutionRequirement><cbc:ExecutionRequirementCode listName="reserved-execution">no</cbc:ExecutionRequirementCode></cac:ContractExecutionRequirement><cac:ContractExecutionRequirement><cbc:ExecutionRequirementCode listName="ecatalog-submission">not-allowed</cbc:ExecutionRequirementCode></cac:ContractExecutionRequirement><cac:ContractExecutionRequirement><cbc:ExecutionRequirementCode listName="esignature-submission">false</cbc:ExecutionRequirementCode></cac:ContractExecutionRequirement><cac:ContractExecutionRequirement><cbc:ExecutionRequirementCode listName="conditions">performance</cbc:ExecutionRequirementCode><cbc:Description languageID="ENG">The framework agreement has incorporated the corporate social responsibility considerations, as appropriate, as laid down in the conventions on the basis of which the principles of the UN Global Compact are worded and as laid down in the OECD Guidelines for Multinational Enterprises. The candidate must submit as its application an ESPD as preliminary documentation of the circumstances set out in section 148(1), cf. section 12 of Ministerial Order on procurement by entities operating in the water, energy, transport and postal services sectors (implementeringsbekendtgørelsen - “the Danish Implementing Order”).

In this procedure, the candidate may rely on the technical capacity of other operators to fulfil the suitability requirements, including for the purpose of selection. The operator(s) making its/their technical capacity available to the candidate must sign a letter of commitment, see further in the tender specifications. The form is enclosed as an attachment to the tender specifications.
The candidate will be excluded from participation in the tendering procedure if the candidate is subject to the compulsory grounds for exclusion set out in sections 134 a, 135 and 136 of the Danish Public Procurement Act, cf. section 11(1), para. (1) of the Danish Implementing Order, unless the candidate has sub-mitted sufficient documentation for its reliability in accordance with section 138 of the Danish Public Procurement Act, cf. section 11(1), para. (2) of the Danish Implementing Order.

Before the award decision is made, the tenderer to whom the contracting entity intends to award the framework agreement must provide documentation of the information submitted in the ESPD pursuant to sections 150-155, cf. section 12 of the Danish Implementing Order.

As an alternative to the documentation mentioned in sections 153-155, 157 and 158 of the Danish Public Procurement Act, the applicant and tenderer may submit to the contracting entity a certificate of registration in an official list of approved economic operators, see section 156, issued by the competent authority. The contracting entity only accepts certificates of registration in an official list from applicants and tenderers established in the country holding the official list.

In the event of changes to the composition of the tenderer, the provisions of section 147 of the Danish Public Procurement Act will apply in their entirety.

The contracting entity may ask the candidate to supplement, specify or complete the application pursuant to Article 76, para. (4) of the Utilities Directive if the application or tender does not meet the formal requirements of the tender documents.

Attention is drawn to Article 5k in Regulation (EU) No 833/2014 as later amended which applies for the tender procedure. The provision contains a prohibition against award of contracts to Russian companies and Russian controlled companies etc. (reference is made to Article 5k, section 1, for the exact delimitation of the actors covered by the prohibition). The contracting entity may at any time during the tender process require that the economic operators prove that they are not covered by the prohibition, for example by requiring a declaration to this effect and/or documentation regarding the economic operators’ and any subcontractors’ place of establishment and ownership.

For information on the process of the negotiations, reference is made to the tender specifications. The Contracting Entity will pay no remuneration for participating.

The difference between the estimated value and the maximum value is due to the uncertainty of the final value of the individual framework agreements (lots). The uncertainty is among others due to the lack of complete knowledge regarding future projects covered by the framework agreement, which are decided through political processes. The estimated value thus reflects the contracting entity’s estimate of the expected purchase under the framework agreement (lot), whereas the maximum value reflects the highest value of all contracts to be performed within the term of the framework agreement (lot). This takes into account, partly, the contracting entity’s expectations based on the most likely purchase under the framework agreement, partly, the expected uncertainty of such estimate. In relation to the estimated value, particular attention is drawn to the fact that the tenderers are guaranteed a minimum turnover under the framework agreement. Though the estimated value does not constitute the minimum turnover. The successful tenderer is guaranteed a minimum turnover as set out below:
2027: DKK 100.000.000
2028: DKK 100.000.000
2029: DKK 100.000.000
2030: DKK 100.000.000
2031: DKK 100.000.000
2032: DKK 100.000.000

The minimum turnover set out above is not valid if the Framework Agreement is terminated or not extended as regards to the years 2029-2032.

It is specifically pointed out to the tenderer that the tenderer is bound by the prices offered, irrespective of the turnover specifically achieved under the framework agreement. This means that the tenderer is also bound by the prices offered if the specific turnover deviates from the estimated value, both upwards and downwards.</cbc:Note><cac:ProcurementAdditionalType><cbc:ProcurementTypeCode listName="contract-nature">services</cbc:ProcurementTypeCode></cac:ProcurementAdditionalType><cac:RequestedTenderTotal><ext:UBLExtensions><ext:UBLExtension><ext:ExtensionContent><efext:EformsExtension><efbc:FrameworkMaximumAmount currencyID="DKK">2300000000</efbc:FrameworkMaximumAmount></efext:EformsExtension></ext:ExtensionContent></ext:UBLExtension></ext:UBLExtensions><cbc:EstimatedOverallContractAmount currencyID="DKK">1600000000</cbc:EstimatedOverallContractAmount></cac:RequestedTenderTotal><cac:MainCommodityClassification><cbc:ItemClassificationCode listName="cpv">45230000</cbc:ItemClassificationCode></cac:MainCommodityClassification><cac:AdditionalCommodityClassification><cbc:ItemClassificationCode listName="cpv">34621200</cbc:ItemClassificationCode></cac:AdditionalCommodityClassification><cac:AdditionalCommodityClassification><cbc:ItemClassificationCode listName="cpv">45234000</cbc:ItemClassificationCode></cac:AdditionalCommodityClassification><cac:AdditionalCommodityClassification><cbc:ItemClassificationCode listName="cpv">45234100</cbc:ItemClassificationCode></cac:AdditionalCommodityClassification><cac:AdditionalCommodityClassification><cbc:ItemClassificationCode listName="cpv">45234130</cbc:ItemClassificationCode></cac:AdditionalCommodityClassification><cac:AdditionalCommodityClassification><cbc:ItemClassificationCode listName="cpv">50220000</cbc:ItemClassificationCode></cac:AdditionalCommodityClassification><cac:RealizedLocation><cac:Address><cbc:Region>anyw-cou</cbc:Region><cac:Country><cbc:IdentificationCode listName="country">DNK</cbc:IdentificationCode></cac:Country></cac:Address></cac:RealizedLocation><cac:PlannedPeriod><cbc:DurationMeasure unitCode="YEAR">8</cbc:DurationMeasure></cac:PlannedPeriod><cac:ContractExtension><cbc:MaximumNumberNumeric>2</cbc:MaximumNumberNumeric><cac:Renewal><cac:Period><cbc:Description languageID="ENG">Banedanmark can extent the framework agreement 2 times for up to 2 years at a time. </cbc:Description></cac:Period></cac:Renewal></cac:ContractExtension></cac:ProcurementProject></cac:ProcurementProjectLot><cac:ProcurementProjectLot><cbc:ID schemeName="Lot">LOT-0002</cbc:ID><cac:TenderingTerms><ext:UBLExtensions><ext:UBLExtension><ext:ExtensionContent><efext:EformsExtension><efac:SelectionCriteria><cbc:CriterionTypeCode listName="selection-criterion">ef-stand</cbc:CriterionTypeCode><cbc:CalculationExpressionCode listName="usage">n-used</cbc:CalculationExpressionCode></efac:SelectionCriteria><efac:SelectionCriteria><cbc:CriterionTypeCode listName="selection-criterion">sui-act</cbc:CriterionTypeCode><cbc:CalculationExpressionCode listName="usage">n-used</cbc:CalculationExpressionCode></efac:SelectionCriteria><efac:SelectionCriteria><cbc:CriterionTypeCode listName="selection-criterion">tp-abil</cbc:CriterionTypeCode><cbc:Name languageID="ENG">References</cbc:Name><cbc:Description languageID="ENG">The applicant must provide the following information regarding technical and professional ability in Part IV.C of the ESPD:
By comparable works reference is made to e.g. works regarding planning and execution of mechanical track renewal and ballast cleaning. References regarding manually track renewal does not constitute comparable works.

The overall assessment will be made on the basis of the submitted portfolio of
references, and the extent to which these references - as a whole document delivery of comparable works.
By high complexity reference is made to works with many interfaces such as client deliveries and derived works carried out by other contractors (for example earthworks, drainage works, signaling works and electrification works)

However, no additional documentation of technical and professional capacity will be required from the candidate, but the contracting entity reserves the right to contact the candidate or the customer stated in the
reference for verification.
If a legal entity participates in more than one application (e.g. as a supporting entity), the contracting entity may request proof that this has not limited the competition in conflict with applicable competition laws.

As a minimum requirement, the candidate must have at least
1) two(2) references covering works regarding planning of mechanical track renewal and ballast cleaning, execution of mechanical track renewal and execution of ballast cleaning
The minimum requirement cannot be fulfilled with separate references for respectively, planning, execution of mechanical track renewal and execution of ballast cleaning.
