Ukraine-Odessa: EIB - Purchase of new trams

Invitation for Tenders
Communal Enterprise ‘Odesmiskelektrotrans’ (hereinafter referred to as ‘the Purchaser’) intends to use part of the proceeds of a loan from the European Investment Bank (hereinafter referred to as ‘the Bank’) towards the cost of its Urban Public Transport Project, Subproject ‘North-South’ main arterial tram route of direct connection (hereinafter referred to as ‘the Project’). VAT and, if relevant, customs duties on finished goods are not eligible to the Bank financing and will be paid by the Purchaser.
The Purchaser now invites sealed tenders from eligible suppliers for the following contract to be funded from part of the proceeds of the loan.
Contract number OTP-02: Supply of new multi-section, articulated low floor trams and related services, including:
— supply of 14 new city tramway vehicles, built for track’ broad of 1 524 mm, 100 % low floor, multi-section, articulated, length of 26-32 m long, 2.5 m width, with total overall capacity of min. 250 passengers (AW3);
— supply of mandatory spare parts and consumables;
— supply of workshop tools and equipment for maintenance and repair of tramways;
— supply of technical documentation and other services (training, commissioning, warranty services),
— delivery schedule: airst delivery — not later than 52 weeks, last delivery — not later than 72 weeks from the date of contract signing. The tender prices shall be queated in EXW / CIP, DAP, DDP Incoterms 2010, final place of destination is Tram depot, #1, Vodoprovodnaya, Odessa, UKRAINE.
Tenders are invited for one lot.
Tendering for contracts that are to be financed with the proceeds of a loan from the Bank is open to firms from any country. The tender procedure will be carried out in line with the EIB guide to procurement (https://www.eib.org/en/infocentre/publications/all/guide-to-procurement.htm). The national remedy mechanism is applicable to the tender procedure.
The Purchaser will award the contract to the tenderer whose offer has been determined to be the lowest evaluated tender for the goods and services proposed and is substantially responsive to the tender document, provided further that the tenderer is determined to be qualified to perform the contract satisfactorily.
Evaluation of tenders shall be made based only on prices EXW/CIP (place of destination) Incoterms 2010 for goods and services, including cost of inland transportation and training. In evaluating each tender, the Purchaser will determine for each tender the evaluated tender price by adjusting the tender price using the following factors and methodology:
(i) deviations in payment schedule from that specified in the particular conditions of contract;
(ii) availability of local maintenance facility.
The Purchaser will apply a 15 % margin of preference for goods manufactured or produced in Ukraine (defined as having at least a 30 % local content ex-factory).
To be qualified for the award of a contract, tenderers must satisfy the following minimum criteria:
(a) tenderers shall meet the eligibility requirements: no conflicts of interests, not having been declared ineligible by the Bank, not being registered in a country or being representatives of such foreign companies, subject to financial sanctions imposed by the EU, either autonomously or pursuant to the financial sanctions decided by the United Nations Security Council on the basis of article 41 of the UN Charter;
(b) tenderers shall not have a consistent history of contractual non-performance within the last 5 years. All pending litigation shall in total not represent more than 10 % of the tenderer net worth;
(c) the audited balance sheets or if not required by the law of the tenderer’s country, official financial statements acceptable to the Purchaser, for the last 3 years to demonstrate the current soundness of the tenderer’s financial position, showing long-term profitability;
(d) the tenderer must have an minimum average annual turnover as prime supplier (defined as billing for goods and services delivered and under delivery) over the last 3 years shall be EUR 10 (ten) million equivalent;
(e) the tenderer shall demonstrate that it has access to or has available, liquid assets, unencumbered real assets, lines of credit and other financial means sufficient to meet the production cash flow for the contract estimated as not less than EUR 12 (twelve) million equivalent, taking into account the tenderer's commitments for other contracts;
(f) the tenderer must have the successful experience of the execution of the analogous deliveries of law-floor articulated tramways of any model in a quantity not less than 10 (ten) units in the last 5 years;
(g) manufacturer of the proposed tramways shall have at least 5 (five) years of experience in manufacturing of tramways of any model;
(h) manufacturer of the proposed tramways shall have production capacities (workshops, warehouses, machine tools and equipment) in its ownership or long-term lease for production of tramways;
(i) the manufacturer shall have all valid licenses for the production of tramways required in the country of the manufacturer; Tramways manufacturing plant shall be in operation (active) on the tender opening date;
(j) the tenderer shall have authorised local maintenance facility in Ukraine for warranty and post-warranty services or will arrange (4 months before the delivery of the first tramways) a legally binding contract with a third-party maintenance provider in Ukraine to provide warranty and post-warranty services;
(k) manufacturer of the proposed tramways shall have a certificate of quality management system (ISO 9001:2015 or its equivalent) and a certificate of environmental management system (ISO 14001 or its equivalent).
Joint venture, consortium or association (JVCA) shall satisfy the following minimum qualification criteria:
1) at least one partner of JVCA shall meet 60 % of all the above referred qualification criteria on average annual turnover and financial resources;
2) each partner of JVCA shall meet at least 20 % of all the above-referred qualification criteria on average annual turnover and financial resources;
3) JVCA shall meet in whole criteria for experience, as well as the eligibility and financial situation referred to above, the corresponding data, that defines the overall capacity of the JVCA, shall be specified for each partner. Each JVCA partner shall meet the requirements for historical financial performance, eligibility and trials.
A complete set of tender documents may be purchased on the submission of an application at the address below upon payment of a non-refundable fee of EUR 200 (two hundred euro), including VAT or equivalent in Ukrainian Hryvnia (UAH) at the National Bank of Ukraine exchange rate the day of transfer.

Upon receiving appropriate evidence of payment of the non-refundable fee, the tender documents may be collected from the Purchaser’s office at the address given below or the documents will be promptly dispatched by courier to the address, indicated in the written request, but no liability can be accepted for loss or late delivery.

All tenders must be accompanied by a tender security of 400 000.00 (four hundred thousand) or its equivalent in another convertible currency or Ukrainian Hryvnia at the exchange rate of the National Bank of Ukraine on the date of issuance.
The tenders must be delivered to the address below on or before 7 July 2020, 12.00 (local time), at which time they will be opened in the presence of those tenderers’ representatives choose to attend.
