Invitation for Tender

Municipal Enterprise of Sumy City Council ‘Electroavtotrans’ (hereinafter referred to as ‘the Purchaser’) intends to use part of the proceeds of a loan from the European Investment Bank (hereinafter referred to as ‘the Bank’) up to a total amount of 4 000 000 EUR towards the cost of its Urban Public Transport Project (hereinafter referred to as ‘the Project’) VAT and, if relevant, customs duties excluded.

VAT and, if relevant, customs duties are not eligible to the Bank financing and will be paid by the Purchaser.

The Purchaser now invites sealed tenders from eligible suppliers for the following contract to be funded from part of the proceeds of the loan.

Supply of the new trolleybuses low floor 12,00 m ± (0,5 m) including a set of spare parts and consumables, a set of equipment and tools for maintenance, repair and related services, up to a total amount of 4 000 000 EUR, exclusive of sales taxes and, if relevant, customs duties are as follows:

— supply, delivery and commissioning of new trolleybuses, low floor, 2-axle, with length of 12 metres ± (0 5 m), total number of passenger capacity must be specified according to Regulation ECE R107-02. The number of seats should be in the range of 30,

— a set of mandatory spare parts and consumables, a full set of workshop tools and equipment for maintenance and repair of trolleybuses and additional service equipment,

— delivery of technical documentation (design, operational and maintenance manuals, diagnostic guides, control and adjustment parameters, circuits, specifications, catalogues),

— supply of related services (commissioning of goods, equipment and tools used for operation and maintenance of supplied trolleybuses, personnel training and warranty),

— incoterms delivery conditions: EXW for goods supplied from within the Purchaser Country, CIP (border or port) for goods supplied from outside the Purchaser Country. The tenderers should quote the price for inland transportation and insurance from the EXW or CIP place of destination to the final destination place: 113 Kharkivska St, Sumy,

— tenders are invited for 1 lot,

— delivery of the trolleybuses is: the first delivery of trolleybuses (40 % of the total quantity of trolleybuses) up to 24 weeks after receipt of the advance payment; the second delivery of trolleybuses (60 % of the total quantity of trolleybuses) – 32 weeks after receipt of the advance payment,

— the contract with the successful tenderer will enter into force after the conclusion of a loan funds transfer agreement between the Ministry of Finance of Ukraine, the Ministry of Infrastructure of Ukraine, the Sumy City Council and Municipal Enterprise of Sumy City Council ‘Electroavtotrans’ in terms and conditions satisfactory to the Bank.

The tender procedure will be carried out in line with the EIB guide to procurement (https://www.eib.org/en/infocentre/publications/all/guide-to-procurement.htm); the criteria to be used in the tender evaluation by the Purchaser are, in decreasing order of importance:

The Purchaser will award the contract to the tenderer whose offer has been determined to be the lowest evaluated tender for the goods and services proposed and is substantially responsive to the tender document, provided further that the tenderer is determined to be qualified to perform the contract satisfactorily.

In evaluating each tender, the Purchaser will determine for each tender the evaluated tender price by adjusting the tender price using the following factors and methodology:

(a) delivery schedule offered in the tender;

(b) deviations in payment schedule from that specified in the special conditions of contract;

(c) cost of inland transportation and insurance to the final place of destination;

(d) the cost of specific maintenance tools, mandatory spare parts and services;

(e) the availability in the Purchaser’s country of spare parts and after-sales services for the equipment offered in the tender;

(f) the projected operating and maintenance costs;

(g) the reliability of the vehicle offered;

(h) other specific criteria indicated in the technical specifications.

Tendering for contracts to be financed with the proceeds of a loan from the Bank is open to firms from any country;

To be qualified for the award of a contract, tenderers must satisfy the following minimum criteria:

— tenderers shall meet the eligibility requirements: no conflicts of interests, not having been declared ineligible by the Bank, not being registered in a country or being representatives of such foreign companies, subject to financial sanctions imposed by the EU, either autonomously or pursuant to the financial sanctions decided by the United Nations Security Council on the basis of article 41 of the UN Charter,

— tenderers shall not have a consistent history of contractual non-performance within the last 5 years. All pending litigation shall in total not represent more than 10 % of the tenderer net worth,

— the audited balance sheets or if not required by the law of the tenderer’s country, official financial statements acceptable to the Purchaser, for the last 3 years to demonstrate the current soundness of the tenderer’s financial position and its prospective long term profitability,

— the tenderer must have an average annual turnover as supplier at least 1 contract the total amount of no less than 5 000 000 EUR (five million euro) equivalent or at least 2 contracts the total amount of no less than 4 000 000 EUR (four million euro) calculated as total certified payments received for contracts in progress or completed, within the last 5 years,

— the tenderer shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit and other financial means sufficient to meet the production cash flow for the contract estimated as not less than 2 000 000 EUR equivalent,

— the tenderer must have successful experience in execution of the analogous deliveries of trolleybuses with similar models in a quantity not less than 70 pieces in the last 5 years,

— the tenderer shall be capable of the fulfilment of commitments regarding maintenance, the repair and supply of spare parts, described in the tender documents,

— in the case of a tenderer offering to supply goods under the contract which the tenderer does not manufacture or otherwise produce, the tenderer has been duly authorised by the goods’ manufacturer to supply the goods in the Purchaser’s country,

— the manufacturer of the proposed trolleybuses shall have at least 10 years of experience in manufacturing of trolleybuses of any model,

— manufacturer of trolleybuses proposed by the tenderer in its tender must have a certificate of quality management system (ISO 9001 or equivalent),

— joint venture, consortium, or association (JVCA) shall satisfy the following minimum qualification criteria:

(a) at least 1 partner of JVCA shall meet 60 % (sixty percent) of all the above referred qualification criteria on average annual turnover and financial resources;

(b) each partner of JVCA shall meet at least 20 % (twenty percent) of all the above referred qualification criteria on average annual turnover and financial resources;

(c) JVCA shall meet in whole criteria for experience, as well as the eligibility and financial situation referred to above, the corresponding data that defines the overall capacity of the

JVCA, shall be specified for each partner. Each JVCA partner shall meet the requirements for historical financial performance, eligibility and trials.

Tender documents may be obtained from the Purchaser’s office at the address below upon payment of a non-refundable fee of 200 EUR (two hundred), including VAT, or equivalent in Ukrainian Hryvnia (UAH) at the National Bank of Ukraine exchange rate as of the day of transfer.

Upon receiving appropriate evidence of payment of the non-refundable fee, it may be obtained from the Purchaser’s office at the address below, or the documents will be promptly dispatched by courier or electronically; however, no liability can be accepted for loss or late delivery. In the event of any discrepancy between electronic and hard copies of the documents, the hard copy shall prevail.

All tenders must be accompanied by a tender security of 100 000,00 EUR (one hundred thousand) or its equivalent in another freely convertible currency or Ukrainian Hryvnia at the official rate established by the National Bank of Ukraine as of the date of the tender security issue.

All tenders must be delivered to the Purchaser’s office at the address below not later than the 10.2.2019 at 13.00 local time. Tenders will be opened immediately in the presence of Tenderers’ representatives who choose to attend.
