KfW — on behalf of the German Federal Government, the European Union and the Stakeholder Group — is inviting suppliers to submit a request to participate in the negotiated tendering procedure for the procurement of Fund Management services for the Geothermal Development Facility Latin America (GDF Latin America).
The GDF Latin America aims to overcome existing barriers for the development of geothermal energy in Latin America by providing among else (i) a tailored Geothermal Risk Mitigation Fund in order to mitigate geothermal resource risk during the exploratory drilling stage of the project as well as (ii) a Technical Assistance Forum in order to coordinate activities and programs of the GDF Latin America stakeholders with the respective partner governments. The GDF Latin America is the first coordinated multi-donor scheme to support geothermal energy on a regional scale in Latin America and will prove transformational in terms of promoting geothermal energy development in the region. It is expected to facilitate at the very minimum the development of up to 7 geothermal plants with a cumulative capacity of at least 350 MW and a total estimated investment volume of at least 1 000 000 000 EUR.
The purpose of this Fund Management assignment is among else the final structuring, set-up and management of the Risk Mitigation Fund including the provision of the inherent Risk Mitigation Instruments to qualified developers, the management of the Technical Assistance Forum as well as all related auditing and reporting duties. The assignment will be executed by a Fund Manager who will be committed to and in charge of the assignment throughout the GDF's intended lifetime.
More detailed information on the required services is given in the Specifications to be found in Part C of the tendering documents of the contest for participation.

Description of these options: KfW shall be entitled to prolong the Consulting Contract with the Contractor by unilateral written declaration — possibly several times — to a maximum of 6 additional months to a total duration of no more than 12 months. Furthermore, the period for the fulfilment of the works and services can be adjusted in mutual agreement to the needs, should this prove to be necessary.
The Foundation is entitled to extend the Fund Management Agreement between the Contractor and the Foundation by unilateral written declaration by an additional 2 years to bring the total duration of the Fund Management Agreement to a maximum of 12 years.
The Contracting Authority's declarations regarding an extension of the Consulting Contract and/or the Fund Management Agreement must be received by the Contractor at the latest 6 weeks before expiry of the respective contract.

Consortia of candidates are not obliged to assume a specific legal form — neither prior to submitting their tender, nor prior to performing the tendered services in case the contract is awarded to them. Each member of the consortium of candidates is jointly and severally liable.

Description of particular conditions: 1. In order to perform the tasks for the assignment, the Candidate must throughout the entire duration of the contract engage a team of highly experienced experts which each provide the Qualification and Skills required according to the procurement documents.
2. In the event that the contract is awarded to the single candidate / to the consortium of candidates, the single candidate / each and every member of the consortium will provide the proof of an existing liability insurance for his respective company with a minimum sum insured of 5 000 000 EUR covering financial losses resulting from clients' claims for poor consultancy services at the latest 21 calendar days further to the award of the contract.
The single candidate / each and every member of the consortium of candidates vows to maintain the insurance coverage during the whole duration of the contract.
III.2)Conditions for participation
III.2.1)Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers
Information and formalities necessary for evaluating if the requirements are met: 1. Declaration of honour with respect to the personal situation of the candidate.
The single candidate — in the case of a consortium of companies the authorised representative of all members of the consortium — declares that:
(a) he fulfils all trade-law prerequisites for providing the services put out to tender of the country in which he has their registered office or place of residence,
(b) insolvency proceedings or comparable statutory proceedings, have not been instituted against his assets nor has the opening of insolvency proceedings been requested or such request been refused for lack of assets,
(c) he is not being wound up,
(d) he has not committed any serious misconduct in course of his professional activities which would cast doubt on his
reliability as a possible provider of the services which are put out to tender,
(e) he has duly fulfilled his obligation(s) to pay taxes and other charges as well as social security contributions pursuant
to the legal provisions of the country in which he has his registered office or place of residence,
(f) he has no knowledge of any circumstances which would cast doubt on his reliability and could be a reason for exclusion in accordance with section 6 EG (4) VOL/A (That is the case if a person, whose conduct is imputable to him has in a final judgment been found guilty of participation in a criminal organisation, corruption, money laundering, fraud, subsidy fraud, bribery or tax evasion),
(g) he has not purposely made any false declarations or provided false information regarding his eligibility,
(h) he has not offered, promised or granted any benefit to a public official or a person en-trusted with special public service functions,
(i) at the time of submission of his request to participate, he has not committed any breach of the German Act against Restraints on Competition (Gesetz gegen Wettbewerbsbeschränkungen or GWB), without limitation, has not made any competition-restraining agreements in particular no such agreements regarding prices or the high-lighting of an undertaking or a consortium as the lowest tenderer,
(j) he will only use qualified and reliable subcontractors for the provision of services,
(k) he has not been punished by imprisonment of more than 3 months or received a fine of more than 90 days units or more than 2,500 EUR for illegal employment of employees and is hence not excluded from the participation in a public procurement procedure according to Section 21 German Employee Assignment Act (Arbeitnehmerentsendegesetz),
(l) he accepts and supports — as far as the relevant provisions are transformed into national law in the relevant state and if applicable regarding its sphere:
(aa) the protection of the international accepted human rights,
(bb) the standards of the International Labour Organisation (ILO) on child labour (ILO Conventions and Recommendations on child labour, 138, 182),
(cc) the ILO conventions on the Abolition of Forced Labour (No. 29, 105),
(m) he and his Key Personnel have no conflict of interest regarding the activities to be per-formed by them in the project related to his other activities,
(n) he underscores the importance of adhering to minimum social standards (‘Core Labour Standards’) in the implementation of the project,
(o) he will inform his staff about their respective obligations and to obey the laws of the country of operation.
(p) he declares that his company has not been included in the list of sanctions of the United Nations, nor of the EU, nor of the German Government, nor in any other list of sanctions and affirm that his company will immediately inform KfW if this situation should occur at a later stage,
(q) he acknowledges that, in the event that his company (or a member of the consortium) is added to a list of sanctions that is legally binding upon KfW, KfW is entitled to exclude his company/the consortium from the procurement procedure and, if the contract is awarded to his company/the consortium, to terminate the contract immediately if the statements made in this request to participate were objectively false or the reason for exclusion occurs after the request to participate has been submitted.
2. Declaration confirming the procurement procedure and the performance of the contract to be of a free, fair and competitive nature.
The single candidate — in the case of a consortium of companies the authorised representative of all members of the consortium — declares:
‘We underline the importance of a free, fair and competitive procurement procedure which precludes any and all misuse. 3. Declaration regarding the proof of a Liability Insurance.
The single candidate declares — in the case of a consortium of companies each and every member of the consortium individually declares:
‘In the event that the contract is awarded to me / to the consortium of candidates I am part of, I will for my company provide the proof of an existing liability insurance (Haftpflichtversicherung) with a minimum sum insured of EUR 5 million covering financial losses resulting from clients' claims for poor consultancy services at the latest 21 calendar days further to the award of the contract. I vow to maintain the insurance coverage during the whole duration of the contract.’.

3. Reference Projects of the candidate.
4. Qualification and experience of the Key Staff the candidate intends to perform the tendered services with.
The candidate must propose a core team consisting of the following 6 key experts:
Regarding Fund Management issues:
(a) Fund Manager (Lead),
(b) Senior Investment Officer, and
(c) Senior Legal Specialist.
Regarding Geothermal Technical Consulting issues:
(d) Senior Geothermal Project Manager (Lead),
(e) Senior Geothermal Reservoir Engineer, and
(f) Senior Drilling Engineer.
For each of the aforementioned key experts a Curriculum Vitae (CV) must be submitted, showing in detail the respective key staff member's education, language skills, general professional experience and specific area-related professional experience.
5. Suitability of the candidate s further team members consisting of the following personnell:
Regarding Fund Management issues:
(a) Portfolio Manager,
(b) Regulatory Specialist, and
(c) Reporting / PR Specialist.
Regarding Geothermal Technical Consulting issues:
(d) Senior Geothermal Resource Specialist,
(e) Electrical / Mechanical Power Engineer,
(f) Civil Engineer,
(g) Geologist / Geochemist,
(h) Senior Geothermal Power Engineer,
(i) Geophysicist, and
(j) Environmental and Social Safeguard Specialist.
6. Suitability of the candidate's supporting personnell (i.e. backstops), particularly for his Lead and Senior Staff.

The candidate must permanently employ — should the need be jointly in a consortium with other consulting firms and/or together with subcontractors — at least 10 professionals in the area of financial management and at least 10 professionals in the area of geothermal power, amounting to a total of 20 Experts.
Referring to 3.:
(a) At least two project references demonstrating the candidate's experience and proven track record in structuring and/or in managing structured and/or unstructured Investment Funds, Grantbased Funds, Trusts or similar financing schemes (e.g. credit lines) with a cumulative volume of more than EUR 20 million.
(b) At least two project references demonstrating the candidate's experience and proven track record in the sourcing, structuring and closing of renewable energy project deals with a cumulative volume of more than EUR 50 million, preferably in developing countries or emerging markets.
(c) All References of the candidate must not have started before the 1.1.2000.

From the core team, the 3 key experts regarding Fund Management issues must meet the following minimum requirements:
(a) Fund Manager (Lead):
(aa) Education: Graduate University or university of applied sciences degree on Economics, Finance, Law or similar field (Masters Level)
(bb) Language: Excellent command both in written and spoken English and Spanish.
(cc) General Professional experience: The Expert has been working for at least 10 years in the Finance Sector / Consulting Sector or in similar areas, preferably in projects in developing countries and emerging markets.
(dd) Area-related Professional Experience: The Expert has accomplished at least 3 personal reference projects in structuring and/or managing structured and/or unstructured Investment Funds, Grant-based Funds, Trusts or similar financing schemes and the cumulative volume of all the Area-related references the Expert submits exceeds 10 000 000 EUR. Furthermore, the submitted personal references must, together, cover all area-related tasks KfW is asking of the respective key staff Expert. A task is covered, if the candidate achieves for his key staff member more than 0 points for the respective task. Also, only projects initiated after 31 December 2000 are admissible as personal reference projects of the Key Staff.
(b) Senior Investment Officer:

(dd) Area-related Professional Experience: The Expert has accomplished at least 3 reference projects — preferably in developing countries or emerging markets — in financing or investment (sourcing, structuring and closing) with a minimum of three renewable energy project deals and the cumulative volume of all Area-related references exceeds 50 000 000 EUR and evidence is given by reference projects of experience and knowledge of main power market conditions, regulations and main stakeholders ideally in the Latin American setting. Furthermore, the submitted personal references must, together, cover all area-related tasks KfW is asking of the respective key staff Expert. A task is covered, if the candidate achieves for his key staff member more than 0 points for the respective task. Also, only projects initiated after 31.12.2000 are admissible as personal reference projects of the Key Staff.
(c) Senior Legal Specialist:
(aa) Education: University graduate degree in law. (Masters Level),
(bb) Language: Excellent command in written and spoken English,
(cc) General Professional experience: The Expert has been working for at least ten years in Legal Consulting and/or practice.
(dd) Area-related Professional Experience: The Expert has accomplished at least 3 reference projects — ideally in an emerging and/or developing country context — in successfully giving advice on the structuring, setting-up and managing of structured and/or unstructured Investment Funds, Grant-based Funds, Trusts or similar schemes. Furthermore, the submitted personal references must, together, cover all area-related tasks KfW is asking of the respective key staff Expert. A task is covered, if the candidate achieves for his key staff member more than 0 points for the respective task. — — Experience in the identification of risks in the early stages of Geothermal projects (up to pre-feasibility studies; geo-scientific studies and
— — Experience in Feasibility Studies Phase in Geothermal projects: Project development, due diligence, procurement and
— — Experience in the implementation of Geothermal Projects: Project Manager, Supervisor with Experience in Project Management, cost control. Areas: Assessment of Geothermal resources, including assessment of well yields, and (practical preparation) of the investment phase of geothermal power plants.

(cc) General Professional experience: The Expert has been working for at least ten years in Geothermal projects, preferably in projects in developing countries and emerging markets,
(dd) Area-related Professional Experience: The Expert has accomplished at least 3 reference projects with all area-related references giving evidence of:
— — Broad Experience in Geothermal resource assessment and the corresponding special areas (at least one of the following: Geo-chemical analysis, geo-physical analysis, geological analysis, determination and micro-siting of boreholes);
— — Reservoir modelling and continuous on validation of concept model with field data;
— — Well testing, analysis of well performance and the corresponding geothermal facilities in operation, all of the above un-der hydrothermal systems conditions.
Furthermore, the submitted personal references must, together, cover all area-related tasks KfW is asking of the respective key staff Expert. A task is covered, if the candidate achieves for his key staff member more than 0 points for the respective task. — — Broad experience in the preparation of drillings, e.g. geothermal drillings, Drilling Programs / Well Designs.
— — Experience in Drilling (Geothermal) wells including (geothermal) Drilling field experience, covering preferably Rig Management and Quality Assurance procedures/standards during drilling activities, familiarity with drilling fluids, casing / cementing of geothermal wells, directional drilling practices, and logging well protocols).

1. All procurement documents are available from the Tendering Authority and need to be requested via e-mail to the following contact point: Mr Benjamin Eisenbraun, vergabestelle@kfw.de

2. When drawing up their Request to Participate, candidates must use the form sheets conveyed to them by the Tendering Authority's contact point.
3. The Request to Participate must be submitted in quadruplicate: A signed original on paper and three identical electronic copies of the signed original on DVD/CD ROM or USB flash drive. The original must bear a handwritten signature. The electronic copies need not show the Candidate's signature. In the event of divergences between the paper form and the electronic form of submitted documents, the paper form will take precedence.
In order to maintain confidentiality, Requests to Participate must be submitted in a closed envelope. The envelope must show the name and address of the Candidate and the red Identification Slip which the candidate will receive together with the procurement documents should be affixed thereto.
4. For postal delivery, the documents must be timely sent to KfW. The date of the receipt stamp of KfW will be decisive. For direct delivery (in person or by messenger), please go to the receiving department (Warenannahme) of KfW, Wirtschaftseinfahrt Nordarkade, via Bockenheimer Landstraße 124/corner Zeppelinallee, from Monday through Friday between the hours of 6:00 and 17:00. Between the hours of 17:00 and 6:00 and on weekends and bank holidays, please contact the security service at above location.
Requests to participate received after the submission deadline cannot be taken into account. Such requests to participate will be mandatorily excluded from the further tendering procedure.
Requests to participate can be withdrawn by the candidate in writing or via fax before the deadline for receipt of the Request to Participate expires.
5. Candidates may prove their economic an financial ability as well as their technical capacity on their own, jointly as a consortium of companies or by relying on the capacities of other entities (subcontractors and affiliated companies).
6. If a Candidate relies on key experts which are not permanently and exclusively employed by him, but are rather incorporated as a member of his consortium or as his subcontractors and if another Tenderer offers the same key expert for the tendered services, KfW will examine, whether these circumstances lead to the candidates exclusion from the later tendering stage of this procurement procedure.
7. The selected candidates will present and negotiate their initial offer in separate meetings at the premises of KfW in Frankfurt (Germany). The selected candidates are strongly advised to be present at this meeting with all six Key Staff members of the project teams they propose for the performance of the tendered services. They can make use of video calls for his purpose. In any event, selected candidates must be present in the negotiation meeting at least with their two Lead Experts (Fund Manager and Senior Geothermal Project Manager) in persona which they have named with their Request to Participate. If only the two Lead Experts are present in the meeting, they must together be capable of covering all aspects of the selected candidate's Technical and Financial proposal reflecting high-level of expertise in their respective fields of work.
Should a selected candidate be prevented from participating in the presentation and negotiation meeting on the proposed date for good cause, the selected candidate must inform KfW's contact point indicated above under section 1 without delay in writing via e-mail and propose an alternate date to be fixed. Distance and travel costs in general do not justify an exemption from the rule that the presentation and negotiations be conducted in a live meeting.
