Justification for a framework agreement, the duration of which exceeds four years: continuity of operations until completion of the KAD project. It is envisaged that the works involved in carrying out the KAD project will exceed 48 months. The technical advisory assignment for the technical monitoring of the project, assistance with works acceptance and commissioning of the building are essential in this regard.

The European Parliament has decided to launch this invitation to tender in order to hire a technical adviser for monitoring the works to construct and modernise its Konrad Adenauer Building in Luxembourg.
The technical adviser shall provide the client's representative with technical assistance as regards all the technical aspects involved in carrying out this project. He shall also conduct quality audits on lots from project management and assist during the building acceptance phase and with the start of putting these buildings into operation.

Invoicing procedures are as follows:
— invoices are issued based on services effectively provided, specifying their volume and calculated using the price list as drawn up by the contractor in his tender.
Each request for payment must quote the contract number: 06D10/2015/FWK/M045, and be accompanied by the corresponding invoices.
The contractor must send any request for payment or credit note relating to contract performance to the following address:
European Parliament, Mail Service (invoice registration), Konrad Adenauer Building, Office 00E006B, plateau de Kirchberg, 2929 Luxembourg, LUXEMBOURG.
The contractor must send the European Parliament requests for payment or credit notes using envelopes or packages, or equivalent means, which must be clearly and identifiably marked 'Demande de paiement' (payment request) or 'Note de crédit' (credit note).
Sums due for contract performance are payable within 60 calendar days of the request for payment being registered by the central accounts in Luxembourg. Payments are considered made on the date on which the European Parliament's account is debited. The payment period may be suspended by the European Parliament at any time following receipt of the request for payment, by notifying the contractor that his request cannot be honoured, in order to check if the amounts are correct and owing, or in order to request any missing supporting documents that the contractor can usefully provide without the request for payment being rejected.
III.1.3)Legal form to be taken by the group of economic operators to whom the contract is to be awarded:
Groupings of economic operators may tender if their members are jointly and severally liable. This may involve an entity with or without legal personality: a temporary association, a private agreement or any other appropriate form of cooperation. Prior to contract signature, the European Parliament reserves the right to request that the grouping awarded the contract assume a specific legal form if this is necessary for satisfactory performance of the contract.

III.2)Conditions for participation
III.2.1)Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers
Information and formalities necessary for evaluating if the requirements are met: participation in this invitation to tender procedure is open on equal terms to all natural persons, legal entities and public bodies who fall within the scope of the treaties — particularly all natural persons, legal entities and public bodies from a Member State of the European Union — and to all natural persons, legal entities and public bodies of non-member countries which have entered into a special agreement with the European Union in the public procurement field, under the conditions laid down in this agreement.
The European Parliament requires tenderers to have the administrative authorisations necessary to perform the activity involved in the contract in accordance with national law.
In particular, the European Parliament requires the following authorisations:
— entry on the trade and companies register.
III.2.2)Economic and financial ability
Information and formalities necessary for evaluating if the requirements are met: the documents from which the European Parliament can evaluate tenderers' economic and financial capacity are:
— financial information sheet, included in directory 4.2 of 'doc.zip' of the specifications, covering the past 3 financial years for which accounts have been closed,
— copy of the complete financial statements (balance sheet, profit and loss account, cash flow table and annexes) published in the annual report and audited or, should this not be obligatory, certified exact and sincere by a representative of the tenderer, for at least the past 3 financial years for which accounts have been closed.
Minimum level(s) of standards possibly required: economic and financial capacity will be assessed on the following criteria:
— annual turnover of at least 2 000 000 EUR, excluding taxes, realised in the field covered by the contract to be awarded, over the past 3 financial years for which accounts have been closed, or, for economic groupings, a total annual turnover of at least 2 000 000 EUR, excluding taxes, realised in the field covered by the contract to be awarded during the past 2 financial years for which accounts have been closed,
— economic and financial viability during contract performance, taking into account in particular the financial balance, liquidity (solvency), debt and profitability of the company.
Economic and financial viability will be assessed on the basis of the Conan and Holder score.
Selected tenderers will be those scoring over 10 during the past 2 financial years for which accounts have been closed.
Tenderers scoring less than 4 during the past financial year will not be selected, and their tender will be automatically rejected.
Tenderers scoring between 4 and 10 during the last financial year for which accounts have been closed, and/or those scoring 10 or less during the penultimate financial year for which accounts have been closed, will only be selected if:
— their gross operating surplus was positive during these 2 financial years, and
— their equity capital was positive at the close of these 2 financial years.
Notwithstanding the criteria listed above, the European Parliament reserves the right to assess the effective capacity of tenderers to handle performance of the contract, taking account of its nature, scale and the risks related thereto, and to request any other proof deemed necessary to evaluate such effective capacity and, where appropriate, not to select a tenderer by reasoned decision, without the latter being entitled to any financial compensation.

* submission of a list of similar works carried out in the past 5 years or currently being performed.
This list must be accompanied, for completed works, by certificates of satisfactory performance issued by the client and confirming that said works were duly completed to a good professional standard.
For ongoing projects, the list must be accompanied by a letter of appreciation of the quality of services provided issued by the recipient of the works and confirming that said works were duly carried out to a good professional standard.
The list shall specify:
— the project value (above ground and excluding land),
— the value of works actually performed by the tenderer,
— the gross above-ground surface area,
— the performance period (beginning and end),
— their location,
— the situation of the company submitting the means of proof (main representative of the grouping, single company or member of the grouping),
— the exact assignment carried out by the tenderer on these works,
— the turnover of fees received,
— the team responsible for the project,
— the nature of the client,
— the name and particulars of the signatory of the certificate who may provide the European Parliament with information on the performance of the works.
* detailed presentation of the team that the tenderer intends to deploy for the project including:
— presentation of the manager, the deputy manager and, where appropriate, other team members scheduled to provide the service, giving details of their training, experience and specific skills,
— for the manager and the deputy manager of the team deployed, a list of reference projects meeting the aforementioned criteria, giving the names of 2 reference persons among the clients, whom the European Parliament may contact where appropriate.
Minimum level(s) of standards possibly required:
the European Parliament requires tenderers to have the following technical and professional capacities:
— minimum experience in providing similar services (monitoring of works to construct and modernise the building and assistance with acceptance) to those required for the contract in question of at least 5 years,
— proven experience in the context of construction in the Grand Duchy of Luxembourg, including the relevant legislation — at least 3 similar projects (monitoring of works to construct and modernise the building and assistance with acceptance) carried out in the Grand Duchy of Luxembourg,

— performance of at least 1 similar assignment (monitoring of works to construct and modernise the building and assistance with acceptance) during the past 5 years, for a project to construct administrative or service-related office buildings, with a gross above-ground surface area of at least 100 000 m2,

— the team leader deployed for the project must:
1. be sufficiently conversant in French to perform the tasks assigned to him; this may be demonstrated by any appropriate means (language certificates or certificates attesting successful completion of level B2 test or equivalent, declaration under own responsibility, etc.) if not a Belgian, French or Luxembourg national;

2. have monitored, as the client's technical adviser, at least 1 project to construct administrative or service-related office buildings with a surface area of at least 100 000 m2 over the past 5 years;

3. have 15 years' professional experience in a client technical adviser position,
— the deputy team leader deployed for the project must:
1. be sufficiently conversant in French to perform the tasks assigned to him; this may be demonstrated by any appropriate means (language certificates or certificates attesting successful completion of level B2 test or equivalent, declaration under own responsibility, etc.) if not a Belgian, French or Luxembourg national;

2. have monitored, as the client's technical adviser, at least 1 project to construct administrative or service-related office buildings with a surface area of at least 50 000 m2 over the past 5 years;

3. have 10 years' professional experience in a client technical adviser position.
Tenderers may rely on the technical and professional capacities of other entities, regardless of the legal nature of the links which they have with them. In such an event, they must provide the European Parliament with proof that they will have the resources needed to carry out the contract, for example, by a commitment from said entities to make such resources available, with a clear description of the procedures involved in making said resources available. In this case, the European Parliament has the right to refuse a tender if it has any doubts about the third party's commitment or its technical and professional capacities. Where applicable, the former may request (as a condition for contract award) that the tenderer and these other entities be jointly and severally liable for contract performance.
In the case of a grouping of economic operators, and during the evaluation of the selection criteria,
— the periods of professional experience of the members of the grouping of economic operators may not be combined to reach the required level (at least 5 years), but this criterion is deemed to be fulfilled as soon as 1 of the members of the grouping has the length of professional experience required,

— the tenderer must demonstrate that at least 1 of his members has provided, alone, similar services on 1 or more projects where the number of square metres corresponds to the minimum number of square metres required above (100 000 m2).
