International Invitation for Tenders

The Municipal Enterprise ‘Kyivpastrans’ hereinafter referred to as ‘the Purchaser’, intends to use the proceeds of a portion of a loan from the European Investment Bank (the Bank) towards the cost of its tram vehicles renewal project and procure the new low-floor multi-section articulated tram vehicles length of 30-34 m, associated goods and related services

The purchaser now invites sealed tenders from eligible suppliers for the following contract to be funded from the proceeds of the Bank’s loan in amount up to 24 893 775 EUR, VAT and any other sales taxes on finished goods and, if a foreign supplier is awarded the contract, customs duties excluded. The VAT and, if relevant, customs duties, will be paid by the purchaser on its own budget.

Contract: supply of new low-floor multi-section articulated tram vehicles length of 30-34 m, associated goods and related services, including:

— supply, delivery and commissioning of new low-floor multi-section articulated tram vehicles, associated goods and related services (the trams vehicles shall be built for 1,524 mm gauge, 100 % low-floor, multi-section, 2,5 m wide and 30-34 m long with a passenger capacity of 300 (± 10 %) passengers (8 pass/m2)) including 60 seats and at least 1 place for wheelchair),

— supply of a set of mandatory spare parts and consumables,

— supply, delivery of a set of workshop tools and equipment for maintenance and repair,

— delivery of technical documentation (design, operational and maintenance manuals, diagnostic guides, control and adjustment parameters, circuits, specifications, catalogs),

— supply of related services (commissioning of goods, training and warranty activities),

— incoterms delivery conditions: EXW for goods supplied from within the purchaser country, CIP (border or port) for goods supplied from outside the purchaser country but it is necessary to include all expenses related to the supply, delivery, handling and insurance of goods to the final destination place,

— the tenderers should quote the price for inland transportation to the final destination place (Kyiv, Municipal Enterprise ‘Kyivpastrans’), the exact address of the branch of the enterprise for the delivery will be reported after the supplier's notice of readiness for shipment of tramway vehicles.

— this contract is expected to be implemented from December 2019 to December 2021, but for warranty obligations. Delivery of the first tramcars (the first set of tramcars) is up to 12 months after the advance payment has been transferred,

— the tender procedure will be carried out in line with EIB guide to procurement available at: https://www.eib.org/en/infocentre/publications/all/guide-to-procurement.htm

— the criteria to be used in the tender evaluation by the purchaser are, in decreasing order of importance:

The purchaser will award the contract to the tenderer whose offer is responsive to the tender document, and has been determined to be the lowest evaluated tender for the goods and meets the following criteria:

— the tenderer is determined to be qualified to perform the tender satisfactory,

— has the largest number of vehicles among the offers,

— the cheapest price per one vehicle, taking into account the cost of supplying operation and maintenance tools, spare parts and related services,

— does not exceed the loan of the Bank in the amount of 24 893 775,00 EUR.

In evaluating each tender, the purchaser will determine for each tender the evaluated tender price by adjusting the tender price using the following factors and methodology:

— delivery schedule offered by the tenderer,

— deviations in payment schedule from that specified in the particular conditions of contract,

— cost of inland transportation to the final place of destination,

— the cost of specific maintenance tools, mandatory spare parts and services,

— the cost of projected operating and maintenance costs,

— the reliability of the vehicle offered.

—— tendering for contracts that are to be financed with the proceeds of a loan from the Bank is open to firms from any country.

To be qualified for the award of a contract, tenderers must satisfy the following minimum criteria:

(a) tenderers shall meet the eligibility requirements: no conflicts of interests, not having been declared ineligible by the Bank, not being registered in a country or being representatives of such foreign companies, subject to financial sanctions imposed by the EU, either autonomously or pursuant to the financial sanctions decided by the United Nations Security Council on the basis of article 41 of the UN Charter;

(b) tenderers shall not have a consistent history of contractual non-performance within the last 5 (five) years. All pending litigation shall in total not represent more than 10 % of the Tenderer net worth;

(c) the audited balance sheets, or if not required by the law of the tenderer’s country, official balance sheets for the last 3 years must demonstrate the soundness of tenderer financial position, showing long-term profitability;

(d) the tenderer must have an average annual turnover as prime supplier over the last 3 years of at least 7 000 000 EUR equivalents;

(e) the tenderer shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other financial means, sufficient to meet cash flow of production for the contract which is estimated at a minimum 7 000 000 EUR equivalent;

(f) the tenderer must have successful experience in execution of similar deliveries of Tramways vehicles with similar models in a quantity not less than 10 low-floor Tramways vehicles, in the last 5 years;

(g) tenderer shall be capable to have Tramways homologated tramcars in Ukraine, training the purchaser's personnel, fulfil the maintenance, repair and supply of spare parts obligations, described in the tender documents;

(h) in the case of a tenderer offering to supply goods under the contract which the tenderer does not manufacture or otherwise produce, the tenderer should have been duly authorised by the goods’ manufacturer to supply the goods in the purchaser’s country;

(i) manufacturer of the proposed Tramways shall have at least 5 years of experience in manufacturing of Tramways of any model;

(j) manufacturer of Tramways proposed by the tenderer in its tender must have a certificate of quality management system (ISO 9001:2015 or its equivalent).

— Joint venture, consortium, or association (JVCA) shall satisfy the following minimum qualification criteria:

(a) at least one partner of JVCA shall meet at least 60 % of all the above referred qualification criteria on average annual turnover and financial resources;

(b) each partner of JVCA shall meet at least 15 % of all the above referred qualification criteria on average annual turnover and financial resources;

(c) JVCA shall meet in whole criteria for experience, as well as the eligibility and financial situation referred to above, the corresponding data that defines the overall capacity of the JVCA, shall be specified for each partner. Each JVCA partner shall meet the requirements for historical financial performance, eligibility and trials.

— tender documents may be obtained from the purchaser’s office at the address below upon payment of a non-refundable fee of 200 EUR (two hundred Euros), including VAT, or equivalent in Ukrainian Hryvnia (UAH) at the National Bank of Ukraine exchange rate the day of transfer.

Upon receiving appropriate evidence of payment of the non-refundable fee, the tender documents may be collected from the purchaser’s office at the address given below or the documents will be promptly dispatched by e-mail to the address, indicated in the written request, but no liability can be accepted for loss or late delivery. In the event of discrepancy between electronic and hard copies of the documents, the hard copy shall prevail.

All tenders must be accompanied by a bid security, fulfilling the conditions indicated in the tender documents, of 250 000,00 EUR (two hundred and fifty thousand) or equivalent in Ukrainian Hryvnia at the official rate established by the National Bank of Ukraine as of the date of the tender security issue or transfer and must be submitted at the address indicated below no later than the time and date of the deadline for tender submission.

All tenders must be delivered in closed envelopes bearing the mention ‘Tender for Supply of new low-floor multi-section articulated tram vehicles length of 30-34 m, associated goods and related services for an amount of up to 24 893 775 EUR from the proceeds of the Bank’s loan’ to the office at the address below on or before 31st October at 13.00 p.m. Kyiv time. Tenders will be opened immediately in the presence of tenderers’ representatives who choose to attend.
